The Role
As the Deputy General Counsel, you will serve as the "Second in Command" for our Legal Department. Reporting directly to the Chief Legal Officer, you will play a critical role in scaling our legal infrastructure during a period of rapid global expansion.
This is a high‑impact, versatile leadership role where you will balance strategic advisory with hands‑on execution across corporate and debt financing, equity, and complex transactional work. You will be a key partner to the CLPO, stepping in to lead the department in her absence and handling a broad portfolio of high‑stakes legal matters.
How You’ll Contribute
- Credit Facilities & Financing: Take ownership of the legal structuring, negotiation, and execution of complex credit and debt financing arrangements. Partner with the Finance team to secure and manage the capital required to fuel our credit‑based products and long‑term growth initiatives.
- Corporate & Transaction Execution: Lead legal support for strategic transactions, including M&A, fundraising, and other high‑value corporate matters. Manage due diligence, deal structuring, and coordination with external counsel to ensure smooth execution at speed and scale.
- Equity & Options Management: Oversee the legal administration of our Employee Stock Option Plans (ESOP). Manage the legal aspects of grants, vestings, and exercises, ensuring compliance with local regulations across multiple jurisdictions.
- People & Employment Support: In partnership with the People function, advise on global employment structures, cross‑border employee arrangements, and incentive schemes. Provide pragmatic, scalable legal input to support our growing team.
- New Product Launches: Serve as the legal architect for new and evolving products. Collaborate with Product and Engineering teams to ensure new offerings are compliant, risk‑managed, and supported by clear customer‑facing documentation.
- Leadership & Ad Hoc Support: Partner closely with the CLPO on corporate governance, capital markets, and strategic legal projects. Lead and mentor members of the legal team and guide the use of external counsel.
- Global Compliance: Ensure LemFi remains ahead of the curve in a complex international regulatory environment (FCA, FINTRAC, AUSTRAC, etc.) as we expand across Europe and new global markets
Who You Are
- A transactional legal expert: grounded in corporate and banking law, with deep experience executing complex financing and M&A transactions.
- Commercial and pragmatic: skilled at balancing risk with growth and getting to “yes” safely.
- Comfortable in ambiguity: thrives in fast‑moving, evolving environments where new processes must be built from the ground up.
- Trusted advisor: able to influence and challenge senior stakeholders with sound, business‑focused judgment.
- Hands‑on and analytical: willing to dive into detail while keeping a strategic view on priorities.
- Mission‑aligned and globally minded: excited by LemFi’s purpose of enabling financial opportunity across borders.
What You’ll Bring
- Experience: 10–14 years in a top‑tier international law firm with a focus on banking, finance, or corporate transactions. In‑house experience is beneficial but not essential.
- Transactional depth: Proven record advising on debt financings, credit facilities, and security packages, plus experience with M&A or venture‑backed equity.
- Corporate finance & governance expertise: Strong grasp of capital structures, investor documentation, and multi‑jurisdictional corporate maintenance.
- Regulatory understanding: Familiarity with fintech or payments regulation is a plus; ability to learn quickly is key.
- Communication: Excellent drafting, negotiation, and stakeholder‑management skills with clarity for non‑lawyers.
- Adaptability: Confidence advising leadership teams directly without large‑firm infrastructure support.
- Academic: Law degree from a reputable university and qualification to practise in the UK or Europe preferred.
